STATUTO DELL’ASSOCIAZIONE “ISODARCO”

ARTICOLO 1 – COSTITUZIONE

E’ costituita l’Associazione denominata: “ISODARCO” (International School on Disarmament and Research on Conflicts – Scuola internazionale per lo studio dei problemi del disarmo e dei conflitti).

ARTICOLO 2 – SEDE

L’Associazione ha sede legale in Roma.
L’Associazione può costituire sedi amministrative e uffici in Italia e all’estero.

ARTICOLO 3 – FINALITA’ E STRUMENTI

L’Associazione ha lo scopo di alimentare l’interesse per i problemi scientifici del disarmo e della pace con tutti i mezzi possibili. In particolare organizza, partecipa o collabora a riunioni, seminari, conferenze e corsi di aggiornamento professionale e culturale, raccoglie documentazione e promuove e svolge ricerche su questi problemi.
L’Associazione è apartitica e non ha fini di lucro.
Ogni provento sarà destinato per gli scopi istituzionali.
L’Associazione non può associarsi a enti con finalità di lucro.
L’Associazione può far usufruire parte dei propri beni e strumenti di supporto ad altre associazioni o enti senza fini di lucro che abbiano finalità analoghe a quelle dell’Associazione.

ARTICOLO 4 – SOCI

Fanno parte dell’Associazione, in qualità di soci, le persone fisiche che accettino il presente Statuto e si impegnino alla realizzazione e diffusione delle finalità dell’Associazione.
I soci sono tenuti a contribuire all’Associazione nella misura della quota annuale, deliberata dall’Assemblea.

ARTICOLO 5 – AMMISSIONE

L’ammissione a socio viene deliberata dall’Assemblea su proposta del Consiglio Direttivo.
La decisione dell’Assemblea è inappellabile.

ARTICOLO 6 – PERDITA DELLA QUALITA’ DI SOCIO

Il socio perde tale qualità per:

  1. dimissioni;
  2. accertati motivi di incompatibilità con gli scopi dell’Associazione.

Per il caso b) è necessaria, su proposta del Consiglio Direttivo, la delibera dell’Assemblea a maggioranza dei due terzi.

ARTICOLO 7 – PATRIMONIO DELL’ASSOCIAZIONE

Il patrimonio dell’Associazione è costituito dalle quote associative e dai contributi ed elargizioni che verranno all’Associazione a qualsiasi titolo.

ARTICOLO 8 – ESERCIZI FINANZIARI

Gli esercizi finanziari sono annuali e si chiudono il 31 dicembre di ogni anno.

ARTICOLO 9 – ORGANI DELL’ASSOCIAZIONE

Sono organi dell’Associazione:

  1. l’Assemblea;
  2. il Consiglio Direttivo;
  3. il Presidente;
  4. il Revisore dei Conti.

ARTICOLO 10 – ASSEMBLEA

L’Assemblea è costituita da tutti i soci in regola con il pagamento delle quote sociali.
L’Assemblea:

  1. stabilisce le linee di indirizzo dell’Associazione e delibera sul programma di attività sottoposto dal Consiglio Direttivo;
  2. approva il bilancio consuntivo sottoposto ogni anno dal Consiglio Direttivo;
  3. elegge i componenti del Consiglio tra i soci dell’Associazione; elegge il Revisore dei Conti;
  4. delibera su ogni altro argomento e proposta all’ordine del giorno attribuiti alla sua competenza dallo Statuto o sottoposti dal Consiglio e concernenti gli scopi e le funzioni dell’Associazione;
  5. decide sull’ammissione di nuovi soci;
  6. stabilisce la quota annuale di contribuzione dei soci;
  7. delibera sulle modifiche dello Statuto;
  8. decide sulla perdita di qualità di socio;
  9. delibera sullo scioglimento dell’associazione.

L’Assemblea deve essere convocata almeno una volta ogni anno.

L’Assemblea deve essere convocata dal Presidente, mediante avviso scritto contenente l’indicazione del giorno, dell’ora e del luogo dell’adunanza, sia in prima che in seconda convocazione, e l’elenco della materia da trattare.

L’avviso deve essere inviato almeno quindici giorni prima del giorno fissato per l’adunanza.

L’Assemblea dovrà inoltre essere convocata o quando se ne ravvisi la necessità da parte del Consiglio o quando ne sia fatta richiesta scritta e motivata da almeno un terzo dei soci.

ARTICOLO 11 – DELIBERAZIONI DELL’ASSEMBLEA

Le deliberazioni dell’Assemblea, per quanto riguarda i punti da a) a f) di cui all’art. 10, sono prese in prima convocazione a maggioranza di voti e con la presenza di almeno la metà degli associati. In seconda convocazione le deliberazioni sono valide qualunque sia il numero dei partecipanti. Per le deliberazioni dell’Assemblea riguardanti i punti g), h) e i), occorre il voto favorevole di almeno 2/3 dei soci presenti all’Assemblea. Questi punti devono essere specificati nell’ordine del giorno inviato con al lettera di convocazione. I soci non possono essere rappresentati nell’Assemblea mediante deleghe.

ARTICOLO 12 – CONSIGLIO DIRETTIVO

Il Consiglio Direttivo è composto da cinque Consiglieri.

Il Consiglio Direttivo si riunisce almeno una volta ogni anno ed ogni volta che lo ritenga necessario il Presidente o su richiesta di almeno due componenti il Consiglio stesso.

Al Consiglio sono demandati i seguenti compiti:

  1. eleggere tra i Consiglieri il Presidente, il Vice Presidente ed il Segretario;
  2. dare esecuzione alle delibere dell’Assemblea;
  3. fissare la data ed il luogo di convocazione delle Assemblee e proporne l’ordine del Giorno;
  4. predisporre la relazione annuale, il bilancio consuntivo, il bilancio preventivo ed il programma di attività da sottoporre all’Assemblea.

ARTICOLO 13 – DELIBERAZIONI DEL CONSIGLIO DIRETTIVO

Il Consiglio Direttivo delibera validamente con la presenza di almeno la maggioranza dei membri e le decisioni sono prese a maggioranza dei Consiglieri presenti.

In caso di parità di voti prevale il voto del Presidente o, in sua assenza, quello del Vice Presidente.

I componenti del Consiglio durano in carica due anni e possono essere rieletti. I membri del Consiglio decadono in caso di dimissioni o se non sono presenti, senza giustificato motivo, a più di tre riunioni del Consiglio nell’arco del loro mandato.

ARTICOLO 14 – PRESIDENTE, VICE PRESIDENTE E SEGRETARIO

Il Presidente ha la rappresentanza legale dell’Associazione di fronte a terzi e in giudizio, firma gli atti deliberati dal Consiglio e dalle Assemblee sociali. Convoca e presiede il Consiglio Direttivo e le Assemblee dei soci. In caso di assenza o di impedimento del Presidente, le sue competenze sono attribuite al Vice Presidente. Spetta al Presidente aprire conti correnti presso banche ed uffici postali in Italia e operare su di essi, incassare somme da chiunque e rilasciare quietanza. Il Presidente esercita in via di urgenza i poteri del Consiglio Direttivo, convocandolo nel più breve tempo possibile per riferire le decisioni assunte.

Il Presidente e il Vice Presidente durano in carica due anni e possono essere rieletti.

Il Presidente può delegare atti amministrativi al Vice Presidente e/o a un Tesoriere nominato dal Consiglio Direttivo.

Il Segretario collabora con il Presidente nell’esecuzione delle delibere del Consiglio.

ARTICOLO 15 – IL REVISORE DEI CONTI

Il Revisore dei Conti ha la responsabilità del controllo dei conti dell’Associazione ed accompagna il bilancio presentato all’Assemblea da una propria relazione. Il Revisore dura in carica due anni e può essere rieletto.

ARTICOLO 16 – MODIFICHE DELLO STATUTO

Le proposte di modifica del presente Statuto devono essere inviate al Presidente che le sottopone all’esame del Consiglio Direttivo. Se il Consiglio Direttivo esprime parere favorevole, il Presidente iscrive le proposte di modifica nell’ordine del giorno da lui suggerito per la prima Assemblea dell’Associazione. Le proposte devono essere indicate nella lettera di convocazione dell’Assemblea.

ARTICOLO 17 – SCIOGLIMENTO DELL’ASSOCIAZIONE

Lo scioglimento dell’Associazione può essere deciso dall’Assemblea con le modalità previste per le modifiche dello Statuto. L’Assemblea che delibera lo scioglimento dell’Associazione decide anche sulla destinazione del patrimonio sociale, che dovrà comunque essere devoluto esclusivamente a organismi senza scopo di lucro, a carattere culturale, scientifico, educativo o filantropico.

STATUTE OF THE ASSOCIATION “ISODARCO”

ARTICLE 1 – ESTABLISHMENT

An Association is established called: “ISODARCO” (International School on Disarmament and Research on Conflicts – Scuola internazionale per lo studio dei problemi del disarmo e dei conflitti)

ARTICLE 2 – REGISTERED OFFICE

The Association has its registered office in Rome.
The Association can set up administrative offices and offices in Italy and abroad.

ARTICLE 3 – PURPOSE AND TOOLS

The Association aims at fostering interest in the scientific problems of disarmament and peace by all possible means. In particular, it organizes, participates or collaborates in meetings, seminars, conferences and professional and cultural refresher courses, collects documentation and promotes and carries out research on these problems.
The Association is non-partisan and non-profit.
All income will be allocated for institutional purposes.
The Association cannot be associated with profit-making organizations.
The Association can make use of its own assets and support tools for other non-profit associations or entities that have similar purposes to those of the Association.

ARTICLE 4 – MEMBERS

The members of the Association, as members, are the natural persons who accept the present Statute and commit themselves to the realization and diffusion of the aims of the Association.
Members are required to contribute to the Association annual dues, set by the Assembly.

ARTICLE 5 – ADMISSION

Admission to membership is decided by the Assembly upon a proposal of the Board of Directors.
The decision of the Assembly is final.

ARTICLE 6 – LOSS OF MEMBERSHIP

A member loses membership by:

  1. resignation;
  2. established reasons of incompatibility with the aims of the Association.

For the case b) it is necessary, on the proposal of the Board of Directors, the vote of the Assembly by a two-thirds majority.

ARTICLE 7 – ASSETS OF THE ASSOCIATION

The assets of the Association consist of membership dues and any contributions and donations received by the Association.

ARTICLE 8 – FINANCIAL YEARS

The financial year closes on December 31 of each year.

ARTICLE 9 – GOVERNANCE OF THE ASSOCIATION

The organisational structure of the Association is composed by:

  1. the Assembly;
  2. the Board of Directors;
  3. the President;
  4. the Auditor.

ARTICLE 10 – ASSEMBLY

The Assembly is composed by all members who have regularly paid their membership dues.
The Assembly:

  1. establishes the guidelines for the Association and decides on the program of activities submitted by the Board of Directors;
  2. approves the financial statement submitted every year by the Board of Directors;
  3. elects the members of the Board of Directors among the members of the Association; elects the Auditor;
  4. deliberates on topics and proposals on the agenda which are within its competence according to the Statute or which are submitted to it by the Board of Directors and concern the aims and functions of the Association;
  5. decides on the admission of new members;
  6. establishes the annual membership fee;
  7. decides on amendments to the Statute of the Association;
  8. decides on the loss of membership;
  9. decides on the dissolution of the association.

The Assembly must be convened at least once each year.

The Assembly must be convened by the President, by written notice containing the date, time, and place of the meeting, both in the first and second call, and the agenda

The notice must be sent at least fifteen days before the day fixed for the meeting.

The Assembly must also be convened when it is deemed necessary by the Board or when a written request is made by at least one third of the members.

ARTICLE 11 – DELIBERATIONS OF THE ASSEMBLY

The resolutions of the Assembly, with regard to points a) to f) in Art. 10, are adopted in first call by majority vote and with the presence of at least half of the members. In the second call the deliberations are valid whatever the number of members present. For the resolutions of the Assembly regarding points g), h), and i), a favourable vote of at least 2/3 of the members present at the meeting is required. These points must be specified in the agenda sent with the meeting announcement letter. Members cannot be represented in the Assembly by proxy.

ARTICLE 12 – BOARD OF DIRECTORS

The Board of Directors consists of five Directors.

The Board of Directors meets at least once a year and whenever the President deems it necessary or at the request of at least two members of the Board.

The tasks of the Board of Directors are:

  1. to elect the President, the Vice President and the Secretary from among the Directors;
  2. to implement the resolutions of the Assembly;
  3. to fix the date and place of meetings of the Assembly and propose the agenda;
  4. d. to prepare the annual report, the financial account, the budget and the program of activities to be submitted to the Assembly.

ARTICLE 13 – DELIBERATIONS OF THE BOARD OF DIRECTORS

The Board of Directors decisions require the presence of a majority of its members and approval by a majority of the Directors present.

In the event of a tie vote, the vote of the President prevails or, in his absence, that of the Vice-President.

The members of the Board remain in office for two years and may be re-elected. Membership on the Board expires in case of resignation or if a member is not present, without a justified reason, at more than three Council meetings during his/her term of office.

ARTICLE 14 – PRESIDENT, VICE PRESIDENT, AND SECRETARY

The President is the legal representative of the Association in dealing with third parties and in court, signs the decisions of the Board of Directors and of the Assembly, convenes and presides over meetings of the Board of Directors and the Assembly. In case of absence or unavailability of the President, his responsibilities are taken by the Vice President. It is up to the President to open current accounts at banks and post offices in Italy and use them, receive payments and issue receipts. In an emergency, the President exercises the powers of the Board of Directors, convening it as soon as possible to report on decisions taken.

The President and Vice President hold office for two years and may be re-elected.

The President may delegate administrative actions to the Vice President and / or to a Treasurer appointed by the Board of Directors.

The Secretary collaborates with the President in the implementation of the Board’s resolutions.

ARTICLE 15 – THE AUDITOR OF THE ACCOUNTS

The Auditor is responsible for auditing the accounts of the Association and accompanies the financial statements presented to the Assembly with a personal report. The Auditor is in office for two years and may be re-elected.

ARTICLE 16 – CHANGES TO THE STATUTE

Proposals for amendments to the present Statute must be sent to the President who submits them for examination to the Board of Directors. If the Board of Directors expresses a favourable opinion, the President includes the proposed modifications on the agenda suggested by him for the next Assembly of the Association. The proposals must be described in the letter convening the Assembly./p>

ARTICLE 17 – DISSOLUTION OF THE ASSOCIATION

The dissolution of the Association can be decided by the Assembly in accordance with the Statute. The Assembly that decides on the dissolution of the Association will also decide on the disposition of the Association assets, which must however be devolved exclusively to non-profit organizations, cultural, scientific, educational or philanthropic.
